Orlando Museum of Art will host Central Florida’s Festival of Trees from November 11th through 19th
The Orlando Museum of Art is set to be transformed into a winter wonderland as it welcomes the return of the Festival of Trees, commencing November 11 through November 19, 2023. This cherished Central Florida tradition, hosted by the Council of 101, ushers in the festive season with its brand-new theme, โEnchanted Holidays.โ
The festival is a celebration of community and the joyous spirit of the holidays. Lisa Sheppard, President of the Council of 101, remarks, โFestival of Trees has become part of the fabric of the holidays in Central Florida.โ The festival not only delights attendees but also furthers a noble causeโsupporting arts and education initiatives at the Orlando Museum of Art.
Visitors to the event can expect to be captivated by over 40 uniquely decorated designer trees, each with a chance to find a new home through purchase. Special events are scheduled throughout the festival’s run. Families can enjoy Breakfast with Santa, wear their festive worst for The Ugly Sweater Fun Day, and young ones can partake in the Reindeer Romp party.
The Council of 101’s events, including the Festival of Trees, have made a significant impact over the years, generating more than $14 million to benefit educational programs at the Orlando Museum of Art. These programs extend their reach across the community, touching lives across all demographics.
Visitors are encouraged to secure their tickets in advance. General admission is available from 10 a.m. to 5 p.m., starting Saturday, November 11 until Sunday, November 19. Ticket pricing is set at $20 for adults, $12 for children aged 3-12, seniors 60 and older, and a special discounted rate for active-duty military and first responders with valid ID.

From the iconic Grand Floridian Resort & Spa to the shores of Crescent Lake, here’s what you can anticipate during this season’s gingerbread extravaganza.
We will start our journey this year at Disneyโs Grand Floridian Resort & Spa, where the famous life-sized Gingerbread House is marking its 24th year. This grand spectacle is studded with over 10,000 pieces of gingerbread and decorated with edible ornaments like white chocolate candy canes and sugar poinsettias. Among these sweet wonders, an 85 lb. chocolate Santa stands proud, surrounded by nutcrackers and snowmen, all brought to life by the talented hands of Pastry Chef Kristine Farmerโs team. With 500 hours dedicated to baking and another 480 to decorating, this creation is a true labor of love. Embedded within its walls are 24 hidden Mickeys, challenging visitors to a merry scavenger hunt.

Cedar Fair and Six Flags Entertainment Corporation today announced that they have entered into a definitive merger agreement to combine in a merger of equals transaction. The combined company, with a pro forma enterprise value of approximately $8 billion based on both companiesโ debt and equity values as of October 31, 2023, will be a leading amusement park operator in the highly competitive leisure space with an expanded and diversified footprint, a more robust operating model and a strong revenue and cash flow generation profile.
Under the terms of the merger agreement, which has been unanimously approved by the Boards of Directors of both companies, Cedar Fair unitholders will receive one share of common stock in the new combined company for each unit owned, and Six Flags shareholders will receive 0.5800 (the โSix Flags Exchange Ratioโ) shares of common stock in the new combined company for each share owned. Following the close of the transaction, Cedar Fair unitholders will own approximately 51.2%, and Six Flags shareholders will own approximately 48.8%, of the combined companyโs fully diluted share capital on a pro forma basis. One business day prior to the close of the transaction, Six Flags will declare a special cash dividend composed of (i) a fixed amount of $1.00 per outstanding Six Flags share, totaling approximately $85 million in the aggregate, plus, (ii) an amount per outstanding Six Flags share equal to (a) the aggregate per unit distributions declared or paid by Cedar Fair to unitholders with a record date following todayโs date and prior to the close of the transaction, multiplied by (b) the Six Flags Exchange Ratio, which special dividend will be payable to Six Flags shareholders of record as of one business day prior to the close of the transaction, contingent on the closing of the transaction.

The companyโs complementary portfolio will include some of the most iconic parks in North America with significant brand equity and loyal, recurring guest bases within the highly competitive leisure space. The combined company will also have entertainment partnerships and a portfolio of beloved IP such as Looney Tunes, DC Comics and PEANUTS to develop engaging new attractions enabled by compelling characters, environments, and storytelling.
Diversified Footprint and Guest Experiences: Cedar Fair and Six Flags have minimal market overlap of park operations, and the combined companyโs complementary geographic footprint is expected to mitigate the impact of seasonality and reduce earnings volatility through a more balanced presence in year-round operating climates. The portfolio will include diversified experiences for guests including safaris and animal experiences, campgrounds, sports facilities and luxury lounges, enabling the combined company to better meet rising consumer demand for varied and engaging entertainment options.
Enhanced Operating Platform to Improve Guest Experiences: By uniting Cedar Fair and Six Flagsโ complementary operating capabilities, the combined company will benefit from a more robust operating platform for improved park offerings and more efficient systemwide performance. The companies expect to leverage Cedar Fairโs recent park investment experience to accelerate the transformation underway across Six Flagsโ portfolio. Cedar Fair and Six Flags will seek to create a more engaging and immersive guest experience. The combined company will also offer expanded park access to season pass holders along with an enhanced, combined loyalty program featuring additional perks.
Experienced and Proven Leadership Team: The senior leadership teams of Six Flags and Cedar Fair bring different and complementary skillsets and experience to the combined company, including decades of park operating experience as well as significant expertise integrating businesses and achieving synergy targets.
Significant Cost Savings and Revenue Uplift Opportunity: Following the close of the transaction, Cedar Fair and Six Flags expect the combined company will benefit from the significant value created by total anticipated annual synergies of $200 million. Approximately $120 million of these synergies are expected to be related to identified administrative and operational cost savings, which the companies anticipate realizing within two years following transaction close. The companies also expect to leverage their complementary operating capabilities to deliver additional revenue uplift, generating approximately $80 million of incremental EBITDA that the companies anticipate realizing within three years of transaction close.
Strong Financial Profile: Over the last 12 months, through the third quarter of fiscal 2023, Six Flags and Cedar Fair collectively entertained 48 million guests, and, as a combined company, would generate pro forma $3.4 billion1 in revenue, $1.2 billion1 in Adjusted EBITDA2, and $826 million1,3 of free cash flow4, reflecting run rate cost savings of $120 million and revenue uplift resulting in $80 million of incremental EBITDA. The transaction is expected to be accretive to earnings per share for Cedar Fair unitholders and Six Flags shareholders within the first 12 months following transaction close. The combined company is also expected to have a pro forma leverage ratio of approximately 3.7x net debt to Adjusted EBITDA, inclusive of synergies, with a path to reduce the leverage ratio to approximately 3.0x within two years of transaction close.
Significant Free Cash Flow Generation and Enhanced Financial Flexibility: The combined companyโs increased free cash flow will provide it with greater flexibility to invest in new rides and attractions, broader food and beverage selections, additional in-park offerings, and cross-park initiatives, such as consumer technology and enhanced guest services. The combined companyโs resources are expected to be strategically deployed to grow attendance, increase per capita spending, and improve profitability, all while enhancing guestsโ value and experience across the park portfolio. The combined company is committed to allocating capital to maximize shareholder returns once the company achieves its targeted net leverage ratio.
Leadership, Corporate Governance and Headquarters
The combined company will be led by a proven management team that reflects the strengths and capabilities of both organizations. Upon closing of the transaction, Richard Zimmerman, President and Chief Executive Officer of Cedar Fair, will serve as President and Chief Executive Officer of the combined company and Selim Bassoul, President and Chief Executive Officer of Six Flags, will serve as Executive Chairman of the combined companyโs Board of Directors. Brian Witherow, Chief Financial Officer of Cedar Fair, will serve as Chief Financial Officer of the combined company and Gary Mick, CFO of Six Flags, will serve as Chief Integration Officer of the combined company.
Following the closing of the transaction, the newly formed Board of Directors of the combined company will consist of 12 directors, six from the Cedar Fair Board and six from the Six Flags Board.
Upon closing of the transaction, the combined company will operate under the name Six Flags and trade under the ticker symbol FUN on the NYSE and will be structured as a C Corporation. The combined company will be headquartered in Charlotte, North Carolina, and will maintain significant finance and administrative operations in Sandusky, Ohio.
Approvals and Closing
The merger is expected to close in the first half of 2024, following receipt of Six Flags shareholder approval, regulatory approvals, and satisfaction of customary closing conditions. Approval by Cedar Fair unitholders is not required. Six Flagsโ largest shareholder, which owns approximately 13.6% of Six Flagsโ shares outstanding, has signed a voting and support agreement to vote in favor of the transaction. The transaction is not expected to trigger any change of control provision under Cedar Fairโs and Six Flagsโ respective outstanding Notes. The companies expect to refinance their respective revolving credit facilities, and Six Flags expects to refinance the Six Flags Term Loan, ahead of transaction close.

A new experience is coming to L.A.! ‘Mickey and Friends Holiday Village’ is an immersive pop-up marketplace open for two days in California this weekend. There will also be a digital option for guests that can’t attend in person.
The in-person shoppable experience will feature products from over 70 noteworthy collections including Baublebar, Forever 21, Loungefly, shopDisney, Stoney Clover Lane and more. It will take place in Venice, California, on November 4th and 5th from 12 pm to 9 pm. This is a complimentary experience and guests need to RSVP in order to attend.

The Wintery Mickey & Friends Chalets will showcase the latest collections from select brands like Baublebar, Forever21, Loungefly, shopDisney and more are available for purchase on site. Stoney Clover Lane will be offering an exclusive holiday-inspired collection only available for purchase at the Mickey & Friends Holiday Village and while supplies last.
Visit Mickey’s Magic Post Office, where a seasonal interactive experience will come to life with beautiful light and sound, alerting guests of a holiday mail delivery.
Step into Mickey & Friends’ Holiday House, where everyone can stop and pose for a shareable Disney Holiday themed postcard with friends.
Indulge in festive treats available for purchase at Chip n’ Dale’s Cocoa Caravan.
Grab your friends to play a hands-on demo of the 2D platform adventure game featuring Mickey & Friends, Disney Illusion Island. Exclusively on Nintendo Switch.
If you’d like to attend the in-person event, you can do so here. You’ll need to choose a date and a 2.5 hour time slot. If no times are available, you can still attend via the standby line but there’s no guarantee you’ll get in.
For those who can’t attend in person, there will be a digital Disney’s Mickey & Friends Holiday Village available November 4 โ January 7. The digital shopping experience will offer products from an array of brands like Aldo, Barefoot Dreams, Coach, Fossil, Hot Topic and more, offering shoppers the opportunity to find the perfect gifts for their loved ones this holiday season.

Disney’s Contemporary Resort Decorated for the Holidays
It’s now November and that means the holidays are beginning to arrive at Walt Disney World! Disney’s Contemporary Resort is the latest hotel to receive holiday decorations.
The windows of the Fantasia store have received holiday decorations! One window displays Mickey Mouse and Minnie Mouse dressed in holiday outfits. Minnie has a bag over her shoulder (full of toys perhaps?) and both are wearing Santa hats. The window also features snowflakes and Christmas trees with the words, “Happy Holidays”.
Another window shows Stitch driving a car with a bow on it along with Genie from Aladdin holding a stocking and teddy bear. The window also features snowflakes and wrapped presents.
Characters are also seen on either side of the store’s entrance. On the left is Pluto wearing a red scarf and the words, “Seasons Greetings”. On the right is Peter Pan with a wrapped gift. The gift tag reads, “Happy Holidays”.
This is just the start of the holiday decorations coming to the Walt Disney World Resort hotels!

Work Underway on Holiday Gingerbread House at Disney’s Grand Floridian Resort
The holiday season has arrived at Walt Disney World in the form of the annual holiday gingerbread house at Disney’s Grand Floridian Resort & Spa! Every year a life-size gingerbread house is constructed in the lobby that cast members sell holiday treats and gingerbread shingles from. We visited the resort recently and saw the work being done on the gingerbread house.
This year the gingerbread house has a red and silver color scheme. The crew working on the house is using ladders and even a crane to construct the sweet building. The gingerbread house will open to guests on November 8, 2023. Guests will be able to purchase house-made gingerbread houses, gingerbread ornaments, and other treats.
We took a closer look at the fabulous details on the gingerbread house. The windows feature hidden Mickey wreaths on the shutters and different Disney characters above the window frames. We saw Ariel, Tiana, and Mickey & Minnie. Red and silver poinsettias adorn the windows, porch, house trim, and a lot of the roof. We also saw some nutcrackers on the porch and Santa on one corner of the house.
Near the house you’ll see a gingerbread man sign telling guests about the ingredients that go into making the life-size gingerbread house. The ingredients include:
