Stitch’s Great Escape Rumored To Be Closing Permanently

Stitch's Great Escape Rumored To Be Closing Permanently

Stitch’s Great Escape is rumored to be closing yet again, but this time, closing permanently. Although Disney has not confirmed this closure, multiple online sources have been reporting it.

Over a year ago, Stitch’s Great Escape went to seasonal operation, which meant the ride would be open for a few weeks and a time and then closed. After that, Stitch was moved there for his meet and greet.

Stitch's Great Escape Rumored To Be Closing Permanently

We’ve been talking about the imminent demise of Stitch’s Great Escape for two years now, but it always seems that this attraction comes right back again, much to the disappointment of the anti-fans of this attraction.

Could this “permanent closure” mean that a new attraction will come in its place? And don’t worry about Stitch, he will move back to his former location near Space Mountain during the Christmas break.  But, so far, no word on the future of his meet and greet beyond early January 2018.

The Walt Disney Company Announces Twenty-First Century Fox Deal For $52.4 Billion

Disney Fox Deal

This morning the huge announcement that we were all waiting for was finally released. The Walt Disney Company (NYSE: DIS) and Twenty-First Century Fox, Inc. (“21st Century Fox” —NASDAQ: FOXA, FOX) entered into a definitive agreement for Disney to acquire 21st Century Fox, including the Twentieth Century Fox Film and Television studios, along with cable and international TV businesses, for approximately $52.4 billion in stock (subject to adjustment). This means that Disney will now to create more appealing content, build more direct relationships with consumers around the world and deliver a more compelling entertainment experience to consumers wherever and however they choose. Before this can happen though, 21st Century Fox will separate the Fox Broadcasting network and stations, Fox News Channel, Fox Business Network, FS1, FS2 and Big Ten Network into a newly listed company that will be spun off to its shareholders.

Under the terms of the agreement, shareholders of 21st Century Fox will receive 0.2745 Disney shares for each 21st Century Fox share they hold (subject to adjustment for certain tax liabilities as described below). The exchange ratio was set based on a 30-day volume weighted average price of Disney stock. Disney will also assume approximately $13.7 billion of net debt of 21st Century Fox. The acquisition price implies a total equity value of approximately $52.4 billion and a total transaction value of approximately $66.1 billion (in each case based on the stated exchange ratio assuming no adjustment) for the business to be acquired by Disney, which includes consolidated assets along with a number of equity investments.

Popular Entertainment Properties to Join Disney Family

Combining with Disney are 21st Century Fox’s critically acclaimed film production businesses, including Twentieth Century Fox, Fox Searchlight Pictures and Fox 2000, which together offer diverse and compelling storytelling businesses and are the homes of Avatar, X-Men, Fantastic Four and Deadpool, as well as The Grand Budapest Hotel, Hidden Figures, Gone Girl, The Shape of Water and The Martian—and its storied television creative units, Twentieth Century Fox Television, FX Productions and Fox21, which have brought The Americans, This Is Us, Modern Family, The Simpsons and so many more hit TV series to viewers across the globe. Disney will also acquire FX Networks, National Geographic Partners, Fox Sports Regional Networks, Fox Networks Group International, Star India and Fox’s interests in Hulu, Sky plc, Tata Sky and Endemol Shine Group.

“The acquisition of this stellar collection of businesses from 21st Century Fox reflects the increasing consumer demand for a rich diversity of entertainment experiences that are more compelling, accessible and convenient than ever before,” said Robert A. Iger, Chairman and Chief Executive Officer, The Walt Disney Company. “We’re honored and grateful that Rupert Murdoch has entrusted us with the future of businesses he spent a lifetime building, and we’re excited about this extraordinary opportunity to significantly increase our portfolio of well-loved franchises and branded content to greatly enhance our growing direct-to-consumer offerings. The deal will also substantially expand our international reach, allowing us to offer world-class storytelling and innovative distribution platforms to more consumers in key markets around the world.”

“We are extremely proud of all that we have built at 21st Century Fox, and I firmly believe that this combination with Disney will unlock even more value for shareholders as the new Disney continues to set the pace in what is an exciting and dynamic industry,” said Rupert Murdoch, Executive Chairman of 21st Century Fox. “Furthermore, I’m convinced that this combination, under Bob Iger’s leadership, will be one of the greatest companies in the world. I’m grateful and encouraged that Bob has agreed to stay on, and is committed to succeeding with a combined team that is second to none.”

At the request of both 21st Century Fox and the Disney Board of Directors, Mr. Iger has agreed to continue as Chairman and Chief Executive Officer of The Walt Disney Company through the end of calendar year 2021.

“When considering this strategic acquisition, it was important to the Board that Bob remain as Chairman and CEO through 2021 to provide the vision and proven leadership required to successfully complete and integrate such a massive, complex undertaking,” said Orin C. Smith, Lead Independent Director of the Disney Board. “We share the belief of our counterparts at 21st Century Fox that extending his tenure is in the best interests of our company and our shareholders, and will be critical to Disney’s ability to effectively drive long-term value from this extraordinary acquisition.”

Benefits to Consumers

The acquisition will enable Disney to accelerate its use of innovative technologies, including its BAMTECH platform, to create more ways for its storytellers to entertain and connect directly with audiences while providing more choices for how they consume content. The complementary offerings of each company enhance Disney’s development of films, television programming and related products to provide consumers with a more enjoyable and immersive entertainment experience.

Bringing on board 21st Century Fox’s entertainment content and capabilities, along with its broad international footprint and a world-class team of managers and storytellers, will allow Disney to further its efforts to provide a more compelling entertainment experience through its direct-to-consumer (DTC) offerings. This transaction will enable Disney’s recently announced Disney and ESPN-branded DTC offerings, as well as Hulu, to create more appealing and engaging experiences, delivering content, entertainment and sports to consumers around the world wherever and however they want to enjoy it.

The agreement also provides Disney with the opportunity to reunite the X-Men, Fantastic Four and Deadpool with the Marvel family under one roof and create richer, more complex worlds of inter-related characters and stories that audiences have shown they love. The addition of Avatar to its family of films also promises expanded opportunities for consumers to watch and experience storytelling within these extraordinary fantasy worlds. Already, guests at Disney’s Animal Kingdom Park at Walt Disney World Resort can experience the magic of Pandora—The World of Avatar, a new land inspired by the Fox film franchise that opened earlier this year. And through the incredible storytelling of National Geographic—whose mission is to explore and protect our planet and inspire new generations through education initiatives and resources—Disney will be able to offer more ways than ever before to bring kids and families the world and all that is in it.

Enhancing Disney’s Worldwide Offerings

Adding 21st Century Fox’s premier international properties enhances Disney’s position as a truly global entertainment company with authentic local production and consumer services across high-growth regions, including a richer array of local, national and global sporting events that ESPN can make available to fans around the world. The transaction boosts Disney’s international revenue mix and exposure.

Disney’s international reach would greatly expand through the addition of Sky, which serves nearly 23 million households in the UK, Ireland, Germany, Austria and Italy; Fox Networks International, with more than 350 channels in 170 countries; and Star India, which operates 69 channels reaching 720 million viewers a month across India and more than 100 other countries.

Prior to the close of the transaction, it is anticipated that 21st Century Fox will seek to complete its planned acquisition of the 61% of Sky it doesn’t already own. Sky is one of Europe’s most successful pay television and creative enterprises with innovative and high-quality direct-to-consumer platforms, resonant brands and a strong and respected leadership team. 21st Century Fox remains fully committed to completing the current Sky offer and anticipates that, subject to the necessary regulatory consents, the transaction will close by June 30, 2018. Assuming 21st Century Fox completes its acquisition of Sky prior to closing of the transaction, The Walt Disney Company would assume full ownership of Sky, including the assumption of its outstanding debt, upon closing.

Transaction Highlights

The acquisition is expected to yield at least $2 billion in cost savings from efficiencies realized through the combination of businesses, and to be accretive to earnings before the impact of purchase accounting for the second fiscal year after the close of the transaction.

Terms of the transaction call for Disney to issue approximately 515 million new shares to 21st Century Fox shareholders, representing approximately a 25% stake in Disney on a pro forma basis. The per share consideration is subject to adjustment for certain tax liabilities arising from the spinoff and other transactions related to the acquisition. The initial exchange ratio of 0.2745 Disney shares for each 21st Century Fox share was set based on an estimate of such tax liabilities to be covered by an $8.5 billion cash dividend to 21st Century Fox from the company to be spun off. The exchange ratio will be adjusted immediately prior to closing of the acquisition based on an updated estimate of such tax liabilities. Such adjustment could increase or decrease the exchange ratio, depending upon whether the final estimate is lower or higher, respectively, than the initial estimate. However, if the final estimate of the tax liabilities is lower than the initial estimate, the first $2 billion of that adjustment will instead be made by net reduction in the amount of the cash dividend to 21st Century Fox from the company to be spun off. The amount of such tax liabilities will depend upon several factors, including tax rates in effect at the time of closing as well as the value of the company to be spun off.

The Boards of Directors of Disney and 21st Century Fox have approved the transaction, which is subject to shareholder approval by 21st Century Fox and Disney shareholders, clearance under the Hart-Scott-Rodino Antitrust Improvements Act, a number of other non-United States merger and other regulatory reviews, and other customary closing conditions.

Boys & Girls Club of Central Florida Receives a $1.1 Million Donation From Disney Parks

Boys & Girls Club of Central Florida Receives a $1.1 Million Donation From Disney Parks

The Boys & Girls Clubs of Central Florida received a special visit along with a huge donation from Disney Parks. Mickey Mouse recently visited the new downtown Orlando location of the Boys & Girls Club to share with them the good news this holiday season that Disney Parks is donating $1.1 million to the organization. These funds will help cover construction costs at the Orlando location.

Disney Parks Blog shared the above photo showing the look of pure joy on the students’ faces as Mickey surprised them with this generous donation.

The Boys & Girls Clubs of Central Florida has operated for over seven decades inspiring children and teens to realize their full potential. This amazing partnership dates back to Walt Disney himself, who served as spokesman and honorary board member for the organization.

Update On New Restaurants Opening at Disney Springs

Update On New Restaurants Opening at Disney Springs

In the past few months, there has been some buzz around the new restaurants that will be opening in Disney Springs- The Edison, Enzo’s Hideout, Pizza Ponte, and Maria and Enzo’s. Disney held a special media tours today and we were lucky enough to be able to receive some pictures of the process and more info on openings.

Nick Valenti, CEO of Patina Restaurant Group (PRG), confirmed plans to open three new modern Italian restaurant and bar concepts at Disney Springs this winter. The restaurants, all new concepts created by PRG, each with unique menus, will form an expansive dining complex showcasing authentic Italian food and entertainment. They will be adjacent to The Edison, the lavish “Industrial Gothic”-style destination also being developed by PRG.

Maria & Enzo’s– an Italian trattoria set in the town’s storied abandoned airline terminal from the 1930s, now transformed into a restaurant. The dining room is open and airy, featuring 50-foot ceilings with views of Lake Buena Vista. The restaurant interiors showcase artifacts that reference air travel of the time, with maps and historic flight paths. The menu is inspired by Sicily, with a range of family-friendly dishes– Arancini di Carne (rice balls stuffed with meat), Melanzane Parmigiana (eggplant Parmesan)– and handmade pastas – Busiate con Granchio (spiral pasta with crab), ‘Ncasciata al Forno (Sicilian baked pasta) – served tableside. Other highlights include fresh fish, richly flavored steaks, and chops.

Enzo’s Hideaway– a speakeasy-inspired by Roman aperitivo bars, located in the storied rum-runner tunnels that adjoin Maria & Enzo’s. Inspired by Florida’s true history of rum running, Enzo’s Hideaway will pour Prohibition-era cocktails at its Tunnel Bar and serve a casual menu of hearty Roman dishes, such as the city’s legendary Bucatini alla Carbonara (hollow spaghetti with creamy egg and pancetta sauce) and Tonnarelli Cacio e Pepe (square-cut spaghetti with pecorino and black pepper).

Pizza Ponte– a fast-casual concept and the perfect place for a quick bite serving pastries, pizza, Italian sandwiches, and espresso. Pastry specialties include Bomboloni (Italian doughnuts) Sfoglia di Riso (pastry with rice cream) and Tiramisu. Savory items include signature Triangolo (stuffed pizza bread) sandwiches, Porchetta (roast pork) and Pizza al Taglio, Sicilian-style pizza by the slice. Maria & Enzo’s, Enzo’s Hideaway and Pizza Ponte are slated to open during this winter.

The Edison– A lavish “Industrial Gothic”– style restaurant, bar and nighttime destination, The Edison is famous for exceptionally good classic American food, craft cocktails and live entertainment including cabaret and music. With multiple levels and a performance space, The Edison is open for lunch and dinner. The menu is executed by Chef PJ Finneran, and consists of contemporary American fare such as Pork Belly Pops with a chile-brown sugar glaze, Crispy Fried Chicken with cast iron buttermilk biscuits and its signature The Edison Burger, a juicy combination of house-ground sirloin, short rib and brisket, topped with Cabot cloth-bound cheddar, onion rings, smoked bacon, house pickles, lettuce, tomato, special sauce and served with hand-cut fries. The Edison’s beverage program places a huge focus on artfully crafted cocktails, interesting beer and wines and house-made punches, made to serve from two to 10 guests. The main room features a dance floor and stage, where each night The Edison will feature an eclectic lineup of live entertainment including musicians, aerialists, and dancers. The Edison is open 11:30am-1am (Sunday-Wednesday) and 11:30 a.m.-2 a.m. (Thursday-Saturday). The Edison will be 21 years and older nightly starting at 9 p.m. The Edison offers discounts for Disney Annual Passholders, Disney Vacation Club members, Tables in Wonderland cardholders and Disney Cast Members.

The Edison at Disney Springs will host a dazzling Grand Opening party on New Year’s Eve, showcasing its lavish Industrial Gothic-style, crave-worthy food and exceptional cocktails plus a truly spectacular lineup of world-class entertainment all within Central Florida’s newest entertainment hot-spot. The Edison’s doors willopen at 7:30 p.m., allowing guests ample time to eat, drink and be merry, right up through a special midnight toast to ring in 2018. A fully immersive gastronomic experience, The Edison features multiple themed areas to explore, upstairs and down, and also includes a waterfront patio that overlooks Lake Buena Vista.

Meet the 29 Ladies Vying for Arie’s Final Rose on The Next Season of “The Bachelor”

Bachelor

Bachelor

What do a quirky, cute set decorator who has a thing for taxidermy, death and zombies; a Yale graduate with the business acumen to be a big success, but failing grades in love; a rock-climbing nanny who combines youthful exuberance with classic charm; a lovely Latin lady who can spice things up in the romance department; and a former model who harbors a huge secret all have in common? They all have their sights set on making the Bachelor, Arie Luyendyk Jr., their future husband when the much-anticipated 22nd edition of ABC’s hit romance reality series “The Bachelor” premieres, Monday, January 1, 2018 at 8 pm EST on ABC, streaming and on demand.

Arie Luyendyk Jr., 36, the dynamic and debonair race car driver who six years ago, was in love and a day away from proposing to the woman of his dreams. And then, she broke his heart. Emily Maynard (now Emily Maynard Johnson) may not have been Arie’s future wife, but he hasn’t been able to find a love like hers since.

On the new season of The Bachelor, Arie will meet 29 potential soul mates as he begins his exciting search for true love. In the premiere episode, Arie prepares for the night of his life as the beautiful bachelorettes, all clamoring to meet him, begin to arrive.

Some of the ladies bring tokens of love for their Bachelor. Yale graduate Seinne presents Arie with a pair of elephant cufflinks to encourage him to seek her out. Tia, a high-spirited southern woman, hands him a little toy wiener as a souvenir of her Arkansas hometown. But Arie’s attention is momentarily captured by the delightful Bekah, who drives up in a cherry red ’65 convertible Mustang.

Chelsea wastes no time luring Arie away once he enters the mansion, serving notice to the rest of the bachelorettes – game on! TV host Jessica, whose father once met Arie at a racetrack, believes they were meant to be together. Stunning Jacqueline questions Arie about why he never found real love since Emily. Kendall, who is obsessed with taxidermy, decides to entertain Arie on her ukulele. And one self-assured woman, Brittany, dares Arie to race her riding miniature racecars.

Ultimately, Arie makes his first difficult decision as he offers the much-sought-after first impression rose to a bold beauty. The long, stressful evening ends on a high note for 21 lucky women, who will continue on the path to capture Arie’s heart.

Star Wars Galaxy's Edge

Star Wars Galaxy's Edge

It’s an exciting week for Star Wars fans! Star Wars: The Last Jedi is about to make its premiere and now we are getting what we think is a sneak peek in to the new Millennium Falcon Ride coming to Star Wars: Galaxy’s Edge. (aka Star Wars Land)

Disney just teased us with this tweet:

So, what does it mean and what exactly is that a photo of? Could it be just the queue area for the attraction or is it the entrance to the ride itself, the cockpit of the Millennium Falcon? It’s hard to know for sure but I guess we will be receiving more information Saturday during Star Wars: Galactic Nights at Hollywood Studios.

Star Wars: Galaxy’s Edge is scheduled to open at Disneyland Park and inside Hollywood Studios at Walt Disney World in 2019.

Make sure to keep it right here for more details on this picture and other exciting Star Wars news as we will have a reporter at Star Wars: Galactic Nights this weekend to bring you the news as it’s announced!

New Tiger Cubs Make First Appearance Since Birth

New Tiger Cubs Make First Appearance Since Birth.

If you needed a little pick-me-up this afternoon, I have just what you need! I introduce Jeda and Anala, the 2 baby tiger cubs that were born this past August at Disney’s Animal Kingdom at the Walt Disney World Resort. They made their television debut on “Good Morning America” today.  Starting today, guests are able to see these cubs, and their mom Sohni, on the Maharajah Jungle Trek.

The endangered Sumatran tiger cubs are the first tigers ever born at Disney’s Animal Kingdom. Sadly, there are fewer than 500 Sumatran tigers living in the wild today. Disney is playing a big part in helping to save these tigers. The cubs were bred through the Association of Zoos and Aquariums Species Survival Plan conservation program, which aims to promote responsible breeding for endangered or threatened species.

Sohni has been bonding well with the cubs and feeds and grooms them throughout the day, according to a statement posted on Disney World’s website.

New Tiger Cubs Make First Appearance Since Birth

“The cubs wrestle with each other constantly and love jumping on plants and logs,” Erin Heavey, an animal care specialist at Animal Kingdom, said in a statement. Heavey said Anala loves trying to “surprise attack” her mother, Sohni, or her brother. She added that the pair have already begun exhibiting their distinct personalities. The name of the male cub, Jeda, means “pause” in Malay, while the female cub’s name, Anala, means “fiery” or “sizzling” in Hindi. “Jeda, in particular, loves ripping the bark off the logs and playing with all the pieces that come off,” Heavey added. “Anala is becoming more adept at sneaking and pouncing and loves hiding behind things.”

New Tiger Cubs Make First Appearance Since Birth

Disney’s dedicated and highly trained team of animal care experts and veterinarians spent three years preparing for the birth of these Sumatran tigers and have worked tirelessly to provide them with the best possible care so they can grow and thrive. Part of this work included creating a special new backstage play area where the tiger cubs could learn to swim and climb before venturing into their habitat at Maharajah Jungle Trek
